We've made updates to our Terms of Use and our Privacy Policy. The revised Terms of Use (“Revised Terms”) and Privacy Policy (“Revised Privacy Policy”) are now up on the website, and you can review the old Terms of Use and old Privacy Policy as well. Additionally, a general overview of the changes is below.
For Members, the Revised Terms and the Revised Privacy Policy will take effect on July 15, 2018* (30 days after being posted to the Site). For new Members (those who create an account today or later), the Revised Terms and Revised Privacy Policy will take effect immediately.
Our core commitment to you, our community members, is to respect and protect your intellectual property. That commitment is affirmed and repeated in the Revised Terms. As a part of that commitment, we agree to let you keep certain Content private, with limited exceptions. The Revised Terms include an expanded list of the exceptions when we might need to access, delete, or backup relevant parts of your Private Content. Please read Section 5, Proprietary Rights, for the full list. This change constitutes the most significant part of the update.
We also ask that you respect and protect our intellectual property. Accordingly, the Revised Terms have clarified the allowed and prohibited uses of Quantopian’s Content and Shared Content.
We believe that these policy updates, particularly the list of exceptions, further improve the transparency about how Quantopian protects and respects your intellectual property. If you have questions or comments, please comment here or send an email to [email protected].
Overview of changes to the Terms of Use
- In Section 1, we modified the authorized uses of the Site and Services to allow only personal use or use for educational purposes (at a school) and made clear that a separate written agreement with Quantopian is required for all commercial and other uses.
- In Section 3, we clarified the meaning as well as the prohibited and allowed uses of Content and Shared Content, including changes necessary to address legal and security concerns related to our new feature allowing Members to upload appropriate datasets for private use. We also defined a new term “Common Areas” to clarify the distinction between public areas and private areas to make sure that you have the information you need to keep Content private, if you choose.
- In Section 5, as noted above, we reorganized some terms to group related issues together and also added detail to the instances where we might need to access, analyze, remove, or create a backup copy of a Member’s Private Content, including algorithms and datasets. We also defined the term “Collaborative Content,” which we’ll treat similarly to Private Content. Additionally, we added terms to describe the rights you need to have in order to use our new feature allowing upload of a private dataset. The goals of these changes are to provide a well-maintained Site and to enable Quantopian, as it adds new features, to comply with all applicable laws, regulations, and similar requirements.
- In Section 14, the indemnification provisions were expanded to cover alleged breaches of the Terms of Use and to specifically address violations of fiduciary or confidentiality obligations to third parties, such as unauthorized use of proprietary datasets. We also clarified that you agree to cooperate in the defense of any claim related to your actual or alleged use of Quantopian’s Site or Services.
- In Section 19, in order to be more transparent, we reiterated that you grant Quantopian licenses pertaining to your Shared Content and private Content that continue even if you stop using the Site and Service. Having such permission from you is important for Quantopian’s compliance with record-keeping obligations and other regulations that apply to the financial sector.
- Other minor clarifications and edits, including conforming edits to use the term Member in both the Privacy Policy and the Terms of Use.
Overview of changes to the Privacy Policy
- We made changes that are mandated by the new EU General Data Protection Regulation (GDPR) privacy law
- To improve the consistency between the Terms of Use and the Privacy Policy, we changed the phrase “public areas” to the new term “Common Areas,” as described above.
- In Section 4, we clarified that we may retain Personal Information for compliance purposes.
- We also made a few grammatical edits.
The last update to our policies was in September 2017. Periodic revisions to our agreements are normal and healthy. We will continue to make revisions to our policies as it becomes necessary or appropriate.
*The Revised Terms and Revised Privacy Policy will apply, effective immediately, to your use of new features, including the upload of private datasets. To the extent you use a new feature before the overall effective date of July 15, 2018, your use of the new feature, which will ask for your express consent to the Terms of Use and Privacy Policy, will be considered acceptance of the Revised Terms and Revised Privacy Policy, even if your use occurs before July 15, 2018.
